NATURE’S GRACE $10K PRIZE SWEEPSTAKES OFFICIAL RULES DECEMBER

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE CHANCES OF WINNING.

1. PRELIMINARY INFORMATION:The Nature’s Grace $10K Prize Sweepstakes (the“Promotion”) is sponsored by NGW Holdings, LLC, with an address of PO Box 223, Vermont, IL 61484 (“Sponsor”). This Promotion is subject to all applicable federal, state, municipal, and local laws and regulations; void where prohibited by law.By entering the Promotion, you accept and agree to be bound by these official rules (the “Official Rules”).

2. ELIGIBILITY:The Promotion isopen only to legal residents of the state of Illinois who are at least twenty-one (21) years of age as of the date they enter(each, an“Entrant”). Employees, independent contractors, officers, and directors of Sponsor and its affiliates and subsidiaries and their immediate family members (spouse/domestic partner, parents, children, siblings and their respective spouses) and those living in the same household of each (whether legally related or not) are not eligible to enter or win. In addition employees, independent contractors, officers, and directors of any of Sponsor’s service providers and partners involved in administration of the Promotion, and any of their immediate family members (spouse/domestic partner, parents, children, siblings and their respective spouses) and those living in the same household of each (whether legally related or not) are not eligible to enter or win.

3. ENTRY PERIOD:The Promotion begins at 09:00 A.M. CST on December 4, 2025 and ends at 11:59 P.M. CST on December 31, 2025 (the“Entry Period”). Non-winning entries will not carry forward to any future promotions. All determinations as to time shall be made by Sponsor in its sole discretion.

4. HOW TO ENTER:There are two ways to enter the Promotion (each, an“Entry”):

Featured Brand Entry Method: Eligible Entrants may, during the Entry Period, visit a participating Illinois dispensary that sells Sponsor’s products during its regular operating hours and make a purchase of that Entry Period’s featured Nature’s Grace brand(s). Seehttps://www.naturesgraceandwellness.com/product-locatorfor a list of dispensaries that sell Sponsor’s products. Make sure to receive and retain your receipt for your purchase of the featured brand (the“Receipt”). Scan or take a picture of your entire Receipt and visithttps://a.cstmapp.com/p/1005760to upload the scanned copy or picture of your Receipt and complete and submit the entry form (a“Featured Brand Entry”). All required information on the entry form must be completed and submitted, and the uploaded Receipt must show dispensary store name, total amount, date of purchase, and the product(s) purchased. The purchase of multiple products on one Receipt will not result in additional entries. Incomplete Featured Brand Entry forms (including due to blurry or unreadable Receipts), Featured Brand Entries that pertain to a purchase made prior to the Entry Period start, and Featured Brand Entries received after the Entry Period are void and disqualified. Entry through the Featured Brand Entry Method will not improve your chance of winning. PARTICIPATION IS LIMITED BASED ON DISPENSARY LOCATIONS, HOURS, AND PRODUCT AVAILABILITY.

ALL PURCHASES ARE SUBJECT TO ALL RULES AND REGULATIONS OF DISPENSARIES AND OF LOCAL, STATE AND FEDERAL AUTHORITIES, INCLUDING ANY LIMITATIONS OR RESTRICTIONS ON THE QUANTITY OF CANNABIS OR CANNABIS PRODUCT THAT CAN BE PURCHASED.

SPONSOR REMINDS AND ENCOURAGES YOU TO CONSUME CANNABIS PRODUCTS RESPONSIBLY. SMOKING IS HAZARDOUS TO YOUR HEALTH. IT IS ILLEGAL TO OPERATE A MOTOR VEHICLE WHILE UNDER THE INFLUENCE OF CANNABIS. POSSESSION OR USE OF CANNABIS MAY CARRY SIGNIFICANT LEGAL PENALTIES IN SOME JURISDICTIONS AND UNDER FEDERAL LAW. CONSULT YOUR PHYSICIAN IF YOU HAVE ANY QUESTIONS OR CONCERNS ABOUT CANNABIS AND YOUR HEALTH, ESPECIALLY IF YOU ARE PREGNANT OR BREASTFEEDING.

Alternate Method of Entry: Eligible Entrants may alternatively enter during the Entry Period by visitinghttps://a.cstmapp.com/p/1005760and completing and submitting the entry form (an “AMOE Entry”). All required information on the entry form must be completed and submitted to be eligible. Incomplete AMOE Entry forms and AMOE Entries received after the Entry Period are void and disqualified.

Eligible Entrants are limited to five (5) total Entries, regardless of method of entry. If more than five (5) Entries are received per Entrant, only the first five (5) Entries submitted during the Entry Period will be eligible to win. Entrants who have already won a prize awarded by Sponsor under a different promotion in the twelve (12) months prior to the Entry Period are not eligible to enter or win the Prize for this Promotion.

SPONSOR RESERVES THE RIGHT TO, IN ITS SOLE DISCRETION, DISQUALIFY ANY ENTRANT THAT SUBMITS MORE THAN THE MAXIMUM PERMITTED ENTRIES OR THAT SPONSOR BELIEVES TO BE TAMPERING WITH THE ENTRY PROCESS OR THE OPERATION OF THE PROMOTION, INCLUDING WITHOUT LIMITATION BY ATTEMPTING TO OBTAIN ADDITIONAL ENTRIES, WHETHER THROUGH USE OF ROBOTIC, AUTOMATIC, PROGRAMMED OR OTHER LIKE MEANS OR ATTEMPTING TO FALSIFY ENTRIES OR ENTRY FORMS. ANY ENTRIES THAT DO NOT COMPLY WITH THESE OFFICIAL RULES WILL BE AUTOMATICALLY VOID AND DISQUALIFIED.


5. DETERMINING THE WINNER:In order to determine the one (1) potential winner of the Entry Period, Sponsor will conduct a random drawing of all eligible Entries received during the Entry Period. Each random drawing will be conducted approximately five (5) business days after the Entry Period ends, but may be expedited or delayed in Sponsor’s sole discretion. Sponsor’s decisions on all matters relating to drawings and winners are final and binding.Odds of winning depend on the total number of eligible entries received.

6. COMMUNICATION WITH THE POTENTIAL WINNER:Sponsor will notify the potential winner by email, using the email address included in their Entry, on or about two (2) business days after the applicable drawing is completed. Notification may be expedited or delayed in Sponsor’s sole discretion. As a condition of winning, Sponsor may also request and require the potential winner to complete and return to Sponsor a Winner Acknowledgment form and any other documents and information required by Sponsor, which may include a copy of Winner’s valid government-issued photo identification (collectively, the“Winner Documentation”) to claim their Prize. The potential winner must reply to the email, and complete and provide any Winner Documentation, within seventy-two (72) hours after Sponsor’s email in order to claim their Prize. If Sponsor’s notification email is returned as undeliverable or Sponsor is unable to communicate with a potential winner, or if a potential winner does not complete any of the foregoing requirements or is otherwise deemed ineligible. Sponsor may, in its sole discretion, disqualify the potential winner without further notice and either forfeit the Prize or select an alternate winner in accordance with Section 5. All results are unofficial until Sponsor’s acceptance of a potential winner’s claim of the Prize and completion of any related documentation (once accepted, a“Winner”). Entrants that are not selected as potential winner will not be notified. Sponsor is not responsible for any changes to or errors in any email addresses or other contact information of Entrants.

7. PROMOTION PRIZES:There will be one (1) Prize available to be awarded for the Promotion. That prize consists of (1) $5,000.00 USD by Sponsor and (2) a $5,000.00 USD Donation to be made by Sponsor to an eligible non-profit charitable organization of the Winner’s choosing, subject to the following additional terms (each a“Prize”). The approximate retail value (“ARV”) for each Prize is $10,000.00 USD.

Donation Prize Terms:As part of the Prize, the Winner will have an opportunity to select one (1) charitable organization from the Sponsor’s approved charity list (each a“Charity”) to receive a $5,000.00 USD donation (the“Donation”). The Donation will be made directly by Sponsor to Charity, and will not be made in the name of Winner and is not tax-deductible to Winner. Donation has no cash or credit value, is non-transferable, and may be used by the selected Charity in such Charity’s sole discretion. Winner must select from the Sponsor approved charity list presented in their Entry form. If Winner does not select an eligible Charity on their Entry form, Sponsor reserves the right to select an alternative eligible Charity to receive the Donation or to forfeit the Donation portion of the Prize.

General Prize Terms:Prizes will be paid by certified check or other method (e.g., money order or electronic funds transfer) determined by Sponsor in its sole discretion. Prizes are subject to any additional terms and conditions of the Prize issuer or payment provider. ARV is listed in U.S. Dollars as of date of printing of these Official Rules. The difference in value of Prize as stated herein and value at time the Prize is claimed, if any, will not be awarded. Prizes will be awarded to Winner no later than thirty (30) days Sponsor receives and verifies all completed Winner Documentation from Winner. Prizes are awarded “as is” with no warranty or guaranty, either express or implied by Sponsor. Prizes are non-transferable, non-descendible, have no cash value or equivalent, and may not be resold. All taxes and other assessments resulting from accepting a Prize, regardless of whether it, in whole or in part, is used, are the sole responsibility of the Winner and Winner may be subject to withholding tax. Sponsor reserves the right in its sole discretion to substitute the Prize with another prize of equal or greater value. In no event will Sponsor be obligated to award more than the stated number of Prizes Promotion-wide. Unclaimed Prizes will not be awarded. A Prize may not be awarded if, among other things, Winner does not meet the eligibility requirements or the Prize is not properly claimed. Any and all costs associated with the receipt of and/or use of the Prize are not included and are the sole responsibility of Winner.

8. PRIVACY:By entering the Promotion, each Entrant agrees to be bound by Sponsor’s Privacy Policy, available athttps://www.naturesgraceandwellness.com/privacy-policy. By entering the Promotion, each Entrant grants Sponsor permission to include Entrant’s full name, likeness, and Entry details on Sponsor’s website, social media accounts, and other marketing materials and channels and/or otherwise in a publicly-available winners list or announcement.

9. GENERAL RULES:By entering the Promotion, Entrant accepts and agrees to these Official Rules and the decisions of Sponsor, which shall be final and binding in all matters, and Entrant represents to Sponsor that it is eligible to participate in the Promotion and that all information it provides is and will be accurate. Proof of submission is not proof of receipt of entry. Sponsor is not responsible for (1) incomplete, lost, late, damaged, illegible or misdirected entries, notifications or other communications (including without limitation as a result of any e-mail filtering by an Entrant’s internet, mobile or e-mail service provider, insufficient space in a user’s email account or errors or losses of any postal or delivery service); (2) technical problems (including without limitation malfunctions of any telephone lines, computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof); (3) fraud; (4) typographical or other error in the printing or display of the Promotion, including the Official Rules or Prize descriptions, administration of the Promotion or any announcement of the Winner; or (5) any factor beyond Sponsor’s reasonable control that may impair the integrity, security, fairness, or proper functioning or administration of the Promotion. As a result of any of the foregoing errors, failures or factors or for any other reason (including without limitation an unanticipated occurrence not fully addressed in these Official Rules) Sponsor reserves the right to cancel, modify, terminate or suspend the Promotion (or any part thereof), or modify these Official Rules, in any manner deemed reasonable by Sponsor in its sole discretion. Notice of any cancellation, modification, suspension or termination will be posted on Sponsor’s website. In the event of any cancellation, modification, suspension, or termination Sponsor reserves the right (but not the obligation) to select potential winners, in accordance with Section 5, from the eligible, non-suspect entries received prior to the time of the event warranting such cancellation, modification, suspension or termination.

ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE, TAMPER WITH OR UNDERMINE THE OPERATION OF THE PROMOTION, INCLUDING BY MANIPULATING ENTRIES OR ATTEMPTING TO OBTAIN ADDITIONAL ENTRIES, WHETHER THROUGH ROBOTIC, ARTIFICIAL, AUTOMATED OR OTHER MEANS, IS A VIOLATION OF CRIMINAL AND CIVIL LAW, AND SPONSOR RESERVES THE RIGHT TO DISQUALIFY, AND SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW FROM, ANY ENTRANT WHO ENGAGES IN SUCH AN ATTEMPT. ANY ENTRANT THAT PROVIDES INCOMPLETE OR INACCURATE DETAILS, IS INELIGIBLE TO ENTER, DOES NOT FOLLOW ALL POLICIES OF SPONSOR, OR VIOLATES OR ACTS IN VIOLATION OF THESE OFFICIAL RULES WILL BE DISQUALIFIED.

10. RELEASE OF LIABILITY – IMPORTANT – PLEASE READ.By entering the Promotion, each Entrant hereby agrees (and agrees to confirm in writing), on behalf of himself/herself and his/her heirs and assigns, to the fullest extent permitted by law, to (1) release, discharge and hold harmless Sponsor, its affiliates and subsidiaries, service providers and sweepstakes administrators, participating dispensaries, listed charities, and each of their respective officers, directors, employees and independent contractors (collectively,“Released Parties”) from and against any and all liability (including damages caused or claimed to be caused), loss, injury, illness, death, or litigation arising out of the Promotion, entry or participation in the Promotion, and/or acceptance, possession, use or misuse of the Prize; and (2) indemnify the Released Parties from any and all liability arising out of the Promotion. Each Entrant hereby acknowledges that, to the fullest extent permitted by law, the Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any Prize, including express warranties provided exclusively by prize suppliers that may be sent along with the Prize. Entrants assume all liability for any injury or damage caused, or claimed to be caused, by the Promotion, participation in the Promotion and/or acceptance, possession, use or misuse of any Prize. Entrant further agrees (x) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (y) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs; (z) Entrant's remedies are limited to a claim for money damages (if any) and Entrant irrevocably waives any right to seek injunctive or equitable relief. Some jurisdictions do not allow the limitations or exclusion of liability, so the above may not apply to every Entrant. The Promotion, the Official Rules, and any claims or disputes arising hereunder, will be governed by and construed in accordance with the laws of the State of Illinois, without reference to its conflicts of laws principles. Entrant expressly agrees to submit to the exclusive jurisdiction and venue of the competent federal, state and local courts located in Fulton County, Illinois. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. Sponsor’s name, designs, logos and slogans are trademarks or service marks and exclusive property of Sponsor. Copying or unauthorized use of any copyrighted material or trademarks without the express written consent of Sponsor is strictly prohibited.

11. ARBITRATION PROVISION – IMPORTANT – PLEASE READ:By participating in this Promotion, each Entrant agrees: (i) that any and all disputes Entrant may have with, or claims Entrant may have against, the Released Parties relating to, arising out of or connected in any way with (a) the Promotion, (b) the awarding or redemption of any Prize, and/or (c) the determination of the scope or applicability of this agreement to arbitrate, will be resolved exclusively by final and binding arbitration administered by JAMS and conducted before a sole arbitrator in accordance with the rules of JAMS; (ii) this arbitration agreement is made pursuant to a transaction involving interstate commerce, and shall be governed by the Federal Arbitration Act (“FAA”), 9 U.S.C. §§ 1-16; (iii) the arbitration shall be held in Fulton County, Illinois; (iv) the arbitrator’s decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable Entrant may have entered into in connection with the Promotion; (v) the arbitrator shall apply Illinois law consistent with the FAA and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (vi) there shall be no authority for any claims to be arbitrated on a class or representative basis, arbitration can decide only Entrant’s and/or Sponsor’s individual claims; the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (vii) the arbitrator shall not have the power to award punitive damages against the Entrant or Sponsor; (viii) if the Entrant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of Entrant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (ix) with the exception of subpart (vi) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the rules of JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, subpart (vi) is found to be invalid, unenforceable or illegal, then the entirety of this arbitration provision shall be null and void, and neither Entrant nor Sponsor shall be entitled to arbitrate their dispute. 12. WINNERS LIST:To receive the names of the Winner, send an email toinfo@naturesgraceandwellness.comwith the subject line: “The Nature’s Grace $10K Prize Sweepstakes Winners List(December)” or send a self-addressed stamped envelope to NGW Holdings, LLC, PO Box 223, Vermont, IL 61484, Attn: The Nature’s Grace $10K Prize Sweepstakes Winner’s List (December). Requests must be received by no later than sixty (60) days after the Entry Period. Information will not be provided until after the Entry Period ends and the Winner has been verified.
